Distribution Agreement

This Music Distribution Agreement (“Agreement”) is a legally binding contract between Divine Epic Music Distribution (“Company”) and the individual or entity (“You” or “User”) who signs up for our music distribution services. By agreeing to this Agreement and signing up, you confirm that you have read, understood, and accepted the terms and conditions outlined below.

Key Highlights (For Better Understanding)

    1. We Accept Only Original Songs:
        • All submitted content must be original and owned by you.
        • Content that violates copyright laws or infringes on YouTube or other platforms’ policies will not be accepted.

    1. YouTube-Specific Guidelines:
        • We distribute music to YouTube, including YouTube Content ID.
        • Ensure that your content complies with YouTube’s guidelines, including no use of unauthorized samples, beats, or remixes.
        • If your content violates YouTube’s policies, it may lead to removal and loss of potential earnings.

        • You are fully responsible for resolving any copyright disputes.
        • Divine Epic will not be liable for any claims or losses arising from copyright-related problems.

    1. Revenue and Payment:
        • The Company takes a 30% commission on all earnings.
        • Payments are made after your earnings exceed $100 USD. The first payment is processed 5 to 6 months after your content is distributed.

    1. Termination for Violations:
        • If your content is found to be non-original or in violation of copyright laws, the Company reserves the right to:
            • Remove your content from all platforms.
            • Withhold your payments.

1. Revenue Sharing

1.1 Divine Epic Music Distribution will collect and distribute revenue generated by your content on platforms like YouTube, Spotify, Apple Music, and others.
1.2 From your earnings:

    • The Company will retain a 30% commission.
    • You will receive the remaining 70% of earnings.

1.3 Revenue is calculated based on platform reports. The Company is not responsible for any discrepancies in these reports.

2. Content Delivery Timeline

2.1 Content delivery to platforms may take 2 to 3 business days, depending on platform review processes.
2.2 Delays caused by errors in your submission or platform-specific issues are not the responsibility of Divine Epic Music Distribution.

3. Copyright and Legal Responsibility

3.1 Original Content Only:

    • You confirm that all submitted content is original, created by you, and free of unauthorized samples, beats, or third-party material.
    • Unauthorized remixes, karaoke tracks, or sound-alike versions are strictly prohibited.

3.2 YouTube Guidelines and Content ID:

    • Your content will be submitted to YouTube Content ID, which identifies your work across the platform to generate revenue.

    • If your music contains copyrighted material (e.g., unlicensed samples), it may be flagged or removed by YouTube.

3.3 Responsibility for Copyright Issues:

    • You are solely responsible for resolving copyright claims or disputes.
    • If a copyright issue arises, the Company will notify you, and you must resolve it within 7 days.
    • Unresolved issues may result in:
    • Removal of your content from all platforms.
    • Withholding of pending payments.

3.4 Divine Epic is Not Liable:

    • The Company is not responsible for any losses or claims due to copyright violations.
    • You agree to indemnify Divine Epic against any legal actions or disputes arising from your content.

4. Payment Terms

4.1 Payments will be made when your earnings exceed $100 USD.
4.2 First Payment: Processed 5 to 6 months after your content is distributed.
4.3 Subsequent Payments: Processed monthly for all earnings above the $100 threshold.
4.4 Payment delays caused by incorrect details provided by you are not the Company’s responsibility.

5. Scope of Services

5.1 Divine Epic Music Distribution provides audio distribution services to platforms such as Spotify, Apple Music, and YouTube (including Content ID).
5.2 No other services, such as video distribution, physical distribution, or promotions, are included unless explicitly agreed upon in writing.

6. Agreement Start Date

6.1 This Agreement becomes effective on the date you complete the sign-up process.
6.2 The sign-up date will be considered the default start date.

7. Termination

7.1 By the Company:

    • The Company reserves the right to terminate this Agreement if your content is non-original, violates platform policies, or breaches this Agreement.
    • Upon termination, all content will be removed from platforms, and pending payments may be withheld.

7.2 By You:

    • You may terminate this Agreement at any time by providing written notice to the Company.
    • Termination will not affect the Company’s right to retain its commission on any earnings prior to termination.

9. Limitation of Liability

9.1 DivineEpic Music Distribution is not responsible for:

    • Copyright issues or disputes related to your content.
    • Losses caused by platform errors, policy changes, or delays.

9.2 The Company’s liability, under any circumstance, is limited to the commission it retains from your earnings.

10. Governing Law and Jurisdiction

10.1 This Agreement is governed by the laws of India.
10.2 Disputes will be resolved under the jurisdiction of the courts in West Bengal, India.

Acknowledgment and Acceptance

By signing up, you confirm that:

    1. You have read, understood, and accepted this Agreement.
    2. You are the rightful owner of all submitted content.
    3. You will comply with YouTube and other platform guidelines.
